1. About these terms

1.1 These terms govern access to and use of the public Sauriq website and the invite-only Sauriq product (together, the “service”). The service is for professional laboratory and research work. It is not for children, and it is not for consumer use.

1.2 By using the product, you agree to these terms. The organization that holds the workspace is the customer. If you hold a personal account, references in these terms to the customer or your organization refer to you. A person the organization has invited is a user. An invitation does not make that person the customer. If you are allowed to act for the organization, you bind the organization as well as yourself. The organization's instructions about its workspace prevail over a user's preferences where they conflict, subject to applicable law. Submitting a Join private preview request is not product access. If your organization has a separate written agreement with the operator of Sauriq, that agreement prevails where it covers the same subject.

1.3 Our Privacy notice explains how personal data is processed. It is separate from these terms and does not replace any data-processing agreement required for an organization's use of the product.

2. Preview access and Join private preview requests

2.1 The product is currently available as an invite-only preview. Submitting a Join private preview request is an expression of interest only. It does not constitute a purchase or guarantee an invitation, account, trial period, or particular feature.

2.2 We may determine whether to grant or continue preview access. These terms do not establish a paid subscription or service-level commitment.

3. Accounts and teams

3.1 You may use only an account assigned to you. You must safeguard your sign-in details, must not share your account, and must promptly notify your team contact or write to [email protected] if you suspect unauthorized access. You are responsible for activity under your account to the extent it results from your failure to meet these obligations.

3.2 Your organization determines whom it invites and what its members share. Other authorized members may view workspace membership and content in accordance with their access. You should check your team's permissions before sharing material.

3.3 An administrator of the organization may end one person's access without ending the workspace. Section 9 describes what then happens to the workspace and its content.

4. Responsible use

4.1 You must use the service lawfully and only for work you are authorized to perform. You must not interfere with its operation, attempt to gain unauthorized access, circumvent access controls, introduce malicious code, or make automated requests that disrupt the service.

4.2 Do not submit content that you lack the right to share, infringes others' rights, or is unlawful.

4.3 We may restrict or suspend access where reasonably necessary to address misuse, security risks, legal requirements, or a material breach of these terms. Where practicable, we will explain the reason and provide an opportunity to resolve the issue.

4.4 We may remove workspace content that breaks section 4.2, or that otherwise breaks these terms, without ending the rest of the organization's access. Where practicable, we will tell the organization what we removed and why.

4.5 You must not reverse engineer the service, except where applicable law does not allow that restriction. You must not resell, sublicense, or otherwise transfer access to the service. Except through export features provided by the service or with our written permission, you must not scrape the service or use automated means to extract content from it. This restriction is subject to your rights under applicable law. You must not remove proprietary notices from the service.

5. Your content and our product

5.1 You and your organization retain any rights you already hold in material added to a workspace. You are responsible for obtaining the rights and permissions needed to add that material and make it available to your team.

5.2 You grant us limited permission to host, reproduce, display, back up, and otherwise process that material as necessary to provide, protect, and support the service for your organization. This permission does not transfer ownership of your content to us.

5.3 We retain our rights in the Sauriq software, design, and documentation. Your access grants a limited right to use the service in accordance with these terms; it does not transfer ownership of the product. If you provide suggestions, we may use them to improve Sauriq without an obligation to implement them or compensate you.

5.4 We treat workspace content as confidential. We use it only to provide, protect, and support the service for your organization, as section 5.2 describes. We do not use workspace content to train machine-learning models.

6. Availability and changes to the preview

6.1 The preview is under active development. We may change, pause, or discontinue features and do not guarantee continuous availability, any particular uptime, or that a feature will remain unchanged. We will seek to provide advance notice of material changes or a planned end to the preview where reasonably possible.

7. Warranties and liability

7.1 The preview is provided as available. We do not warrant that it will be error-free or suitable for any particular research outcome. You remain responsible for reviewing your work and maintaining appropriate records outside Sauriq.

7.2 To the extent permitted by applicable law, we are not liable for indirect or consequential losses arising from use of the preview. Nothing in these terms excludes liability or limits rights where doing so is prohibited by law, including liability for fraud or intentional misconduct.

8. Privacy

8.1 See our Privacy notice for information about personal data and requests.

9. Ending access

9.1 You may stop using the service at any time. We may end preview access, including when an invitation is withdrawn or the preview ends. For a planned end to the preview, we will try to give your organization advance notice. Before access ends, write to [email protected] about your content, and keep your own copies of important work.

9.2 Ending one person's access does not delete the organization's shared workspace. Content may remain available to other authorized members. To ask about workspace content, write to [email protected]. To ask about personal data, write to [email protected]. The Privacy notice explains those requests.

9.3 Before a planned end of the preview, or of your organization's access, the notice under section 9.1 will include a period during which the organization may ask for a copy of its workspace by writing to [email protected]. You can also prepare an account export in Settings. For a personal account, this includes workspace records, canvases, plans and stored vault files. The Privacy notice describes the account export's scope, deletion of account and workspace information, and expiry of backup copies.

10. Changes to these terms

10.1 We may amend these terms as the service develops. The version date above identifies the current text. Where reasonably possible, we will notify you of material changes before they take effect. If you do not agree to the amended terms, stop using the product. If you keep using the product after the changes take effect, you accept them.

11. Reporting infringement

11.1 If you believe workspace content infringes your work, write to [email protected]. Include what the work is, where it appears in Sauriq, and why you believe it infringes. We may remove that content under section 4.4.

12. General

12.1 When access ends, the right to use the product ends. Our permission to host workspace content ends when that content is deleted from the live service, except for backup copies until they expire under the Privacy notice. Sections 5.3, 5.4, 7, 9.3, 11, and this section 12 still apply after access ends. Section 5.4 applies for as long as we hold the content.

12.2 The organization may not assign these terms, or transfer its access, without our written consent. We may assign these terms to a successor that operates the service. These terms bind permitted successors.

12.3 These terms, together with the Privacy notice, are the entire agreement about this preview, except for a separate written agreement or data-processing agreement with the organization. A separate written agreement prevails where it covers the same subject, as section 1.2 describes.

12.4 If a court holds part of these terms unenforceable, the rest remains in effect. Waiting to enforce a term is not a waiver of it.
